EDUCATION

• Alexis has a postgraduate diploma from Sciences Po Paris (I.E.P., Economic and Financial Section, 1997). 

• He also has a Master’s degree in Business and Tax Law from the University of Paris II - Panthéon Assas.

• He was admitted to the Paris Bar in the year 1999.

CAREER

Alexis began practising as a lawyer specialising in Business Law at Archibald Andersen from 2000 to 2002, before continuing to Landwell & Associés from 2002 to 2005.  He joined STC Partners (formerly called Sarrau Thomas Couderc) in 2005 remaining there until 2013.

 

EXPERIENCE AND EXPERTISE

Alexis specializes in company law and in particular in mergers and acquisitions. He advises companies on French and international operations regarding issuing of capital, external growth, divestment or reorganising structures. He also advises investment funds on the acquisition and transfer of businesses.

Furthermore, he is involved in structuring partnerships and joint ventures and, more generally, in organising relationships between shareholders within the same company or group of companies.

He assists directors in optimising their terms of employment, remuneration and profit-sharing structures (stock options, warrants, bonus shares, profit-sharing mechanisms).

EXPERTISE

Business Law :

• Acquisitions, transfers, mergers;

• Organisation and regulation of the shareholders' relationships: shareholders agreements, joint ventures.

Company Law : 

• Issuance of transferable securities, hybrid and complex securities, on-going legal advice relating to a company’s affairs  (approval of accounts...);

• Profit-sharing schemes for directors: stock-options, equity warrants, capital gains sharing schemes.

Securities Law :

• capital markets operations (stock market listings, public offerings, takeover bids).
